1. Acceptance of Terms

The User's access or use of the DoubleDown Odds, LLC's (hereinafter "the Company") services constitutes unconditional agreement to be bound by these Terms of Service and the Privacy Policy, as amended from time to time at the Company's discretion.

2. User Obligations and Registration Requirements

The User shall provide truthful, accurate, and complete information during the registration process and shall maintain the confidentiality of account credentials. The User is wholly responsible for all activities conducted under their account. The User must notify the Company immediately of any unauthorized use of their account.

3. Proprietary Rights of the Company

The User is granted a non-exclusive, non-transferable, revocable, and limited license to access and use the services in accordance with these Terms of Service. The Company retains all rights, title, and interest in the services, including intellectual property rights. Any unauthorized use, reproduction, or distribution of the services is strictly prohibited.

4. Disclaimer of Warranties

The Company provides the services on an "as is" and "as available" basis, expressly disclaiming any warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. User Content

The User grants the Company a non-exclusive, royalty-free, perpetual, and irrevocable right to use any content the User provides to the services for any purpose.

6. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the User's use of the services.

7. Indemnification

The User agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the service from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Service by the User or any other person accessing the service using the User's account.

8. Dispute Resolution and Governing Law

All disputes arising under these Terms of Service shall be governed by and construed in accordance with the laws of the State of Michigan, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Michigan.

9. Price Changes

The User acknowledges and agrees that the pricing for DoubleDown Odds, LLC's services is subject to change at any time without prior notice. The Company reserves the right to adjust the pricing of its services, including but not limited to subscription fees, product costs, and any associated charges, at its sole discretion. Such changes may be implemented immediately upon posting the revised pricing on the Company's platform or by notifying Users via email and other means of communication. Continued use of the services after such changes constitute the User's acceptance of the new pricing terms. The Company shall not be liable to the User or any third party for any modification, price change, suspension, or discontinuance of the services. Users are encouraged to review the pricing terms regularly to stay informed about any updates or modifications.

10. Additional Provisions

Third-Party Content: The Company is not responsible for and does not endorse any third-party content accessed via the services.
Platform Disclaimer: The User acknowledges that all information on the Company's platform is for general informational purposes only and should not be considered as advice.
Arbitration Agreement: Any dispute relating to these Terms of Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action and Jury Trial Waiver: The User waives any right to participate in class actions, collective actions, or jury trials.
Modification of Services: The Company reserves the right to modify or discontinue the services or any part thereof with or without notice to the User.
Automatic Renewal and Payment Terms: Subscriptions to the Company's services are subject to automatic renewal and the User agrees to be responsible for all charges incurred in connection with the User's subscription.
Cancellation Policy: Users may cancel their subscription at any time; however, no refunds will be provided for any partial subscription periods.
Account Security: The User is responsible for maintaining the security of their account and shall immediately notify the Company of any unauthorized use.
Data Privacy: The Company's use of any data provided by the User shall be in accordance with the Privacy Policy, which is an integral part of these Terms.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

11. Entire Agreement

These Terms of Service, together with the Privacy Policy and any amendments and any additional agreements the User may enter into with the Company in connection with the services, shall constitute the entire agreement between the User and the Company concerning the services.

12. Non-Waiver

No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and the Company's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

13. Notices

All notices under these Terms of Service shall be in writing and shall be deemed to have been duly given when received if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or upon receipt, if sent by certified or registered mail (return receipt requested), postage prepaid.
